End-User License Agreement (EULA) of Artify

This End-User License Agreement ("EULA") is a legally binding agreement between you and Unusual Minds, owner & developer of the Artify Software

This EULA governs the Personal-Only use of the Artify software ("the Software") provided to you directly by Unusual Minds or indirectly through an Unusual Minds authorized reseller or distributor (a "Reseller").

Please read this EULA carefully before using the Artify software. It provides a license to use the Artify software, and contains warranty information and liability disclaimers.

If you register to use the Artify software, this EULA will govern the use you can make of the tool as well as the artwork contained in it. By clicking "accept" or using the Artify software, you are confirming your acceptance and becoming bound by the terms of this agreement.

If you are entering into this EULA on behalf of a company or other legal entity, you represent that you have the authority to bind such entity and its affiliates to these terms and conditions. If you do not have such authority or if you do not agree with the terms and conditions of this EULA, do make use of the Software, and you must not accept this EULA.

This EULA shall apply only to the Software supplied by Unusual Minds as well as all of the artwork and assets available as stock within it, regardless of whether other software is referred to or described herein. The terms also apply to any Unusual Minds updates, supplements, Internet-based services, and support services for the Software, unless other terms accompany those items on delivery. If so, those terms apply.

License Grant

Unusual Minds hereby grants you a personal, non-transferable, non-exclusive licence to use the Artify software on your devices in accordance with the terms of this EULA.

You are permitted to load the Artify software (for example a PC, laptop, mobile or tablet) under your control. You are responsible for ensuring your device meets the minimum requirements of the Artify software.

Under This License, You Can Use the Artify Software For:

Personal purposes

Unrestricted use of the Software & Stock Assets for creation & customization of unlimited artwork for personal use

Creation of artwork using the stock assets available within the software as well as uploading custom artwork

Stock Assets

Artify includes an exclusive catalog of designs, illustrations, compositions, shapes, patterns & other assets that users may make use of to create designs and derivative works through the Artify software. The user is therefore allowed to:

Modify, crop, change in shape and color, rasterize, and otherwise alter the Stock Assets as necessary.

Use the Stock Assets to create custom templates for nbon-commercial print & digital media projects

Use the Stock Assets to create derivative, non-commercial projects

Derivative works include but are not limited to: client projects, product design, printed material, packaging, video presentations, multimedia projects, online content, web design, stationery design

You may use stock assets to create unlimited designs for web, social media, print, etc, as long as they are not meant to be used on commercial projects.

Note: Each Stock Asset is authorized for use on derivative works only, and not as a stand-alone designs. Users are not authorized to export and share stand alone designs, shapes or elements in any way.

Stock Assets are licensed by Unusual Minds, who has full copyrights to the Stock Assets provided on Artify.

You may not sell, re-sell, distribute, or otherwise make any other use of the Stock Assets outside of the terms of this agreement.

When using our Stock Assets or the Artify Software, you represent, warrant and agree that Stock Assets may not be used:

For pornographic, defamatory, obscene or other unlawful/harmful purposes;

For the purpose of enabling file-sharing of the image file;

In logos, trademarks, service marks or any other branding or identifiers

You may not download Stock Assets, reverse engineer, decompile, or disassemble the Stock Assets to distribute them as stand alone products in any way

No ownership or copyrights to any of the Stock Assets are granted to you, under any circumstance

Fonts Available in the Artify Software

Artify provides access to hundreds of Google Fonts. The Fonts included in Artify are licensed under the SIL license which allows personal & commercial use of the fonts. Read more about the SIL license here

Unsplash Stock Assets

Artify provides access to Unsplash's library of Stock Photos through their API, and these assets are made available to users under Unsplash' own license. Note that the Unsplash License does not include the right to use:

Trademarks, logos, or brands that appear in Photos

People’s images if they are recognizable in the Photos

Works of art or authorship that appear in Photos

You may not download, redistribute or use use Unsplash' Stock Photos as stand alone products

Trademarks / Brand photos: if a photo has a brand or trademark in it (ex: Star Wars), you can use the photos for personal use (ex: printing the photo to hang on your wall), but when using the photo for commercial use, it’s important not to insinuate that the brand / trademark is endorsing or taking part of the thing that you’re advertising. If the brand can make the case that the photo insinuates that they are part of the commercial message you’re trying to reveal, that’s where you can fall offside. People’s faces / celebrities: Photos that have people’s faces that are recognizable in the photos can be used for personal use and commercial use (as long the photo isn’t endorsing any negativity that could harm that person). However, photos that have celebrities in it would not be recommended for commercial use, since typically celebrities have additional privacy rights that don’t allow any company to profit off of their image. However, in both cases, these photos can be used for personal use.

You Are Not Permitted To:

Edit, alter, modify, adapt, translate or otherwise change the whole or any part of the Artify Software, nor permit the whole or any part of the Software to be combined with or become incorporated in any other software, nor decompile, disassemble or attempt to reverse engineer any part of the Software or attempt to do any such things

Use the Software in any way which breaches any applicable local, national or international law

Use the Software for any purpose that Unusual Minds considers is a breach of this EULA

You may not download the Stock Assets as stand alone assets to be redistributed in any form that competes with Unusual Minds' business, including but not limited to, displaying Stock Assets for sale in marketplaces or similar design stores, exporting them through a website, uploading to other online design platforms or tools, or distribute them as free media or in any other way.>

The Stock Assets available as part of Artify cannot be used as part of software/applications/designs/end products for distribution through marketplaces, regardless of whether they are intended to be sold or distributed free.

The Stock Assets may not be directly or indirectly licensed, sublicensed, sold, resold, rented, transferred, leased or redistributed, even for free, unless otherwise specified in a separate attachment to this license.

The licensed material cannot be published on a website as downloadable files, shared through newsletters, or distributed in any product that allows the extraction of the original licensed material in any way.

The licensed material, including the Software and the Stock Assets, cannot be used to create obscene or defamatory material.

No title or intellectual property rights are transferred to you ("The User").

You agree to hold us harmless for any damages that may occur due to the use, or inability to use, the Artify software or any purchased products derivated from your use of the software

Intellectual Property and Ownership

Unusual Minds shall at all times retain ownership of the Artify software as well as the Stock Assets available within it. The Software (and the copyright, and other intellectual property rights of whatever nature in the Software, including any modifications made thereto) are, and shall remain, the property of Unusual Minds.

Unusual Minds reserves the right to grant licences to use the Software to third parties as well as to modify this EULA at any given time. We may, at any time, and at our sole discretion, modify this EULA, including our Privacy Policy, and shall provide notice to the user regarding material changes to these terms when deemed necessary.

Termination

This EULA is effective from the date you first use the Software and shall perpetually continue until terminated.

If you fail to comply with any term of this EULA, your rights to make use of the Artify software and any media created through it, or by using the Stock Media available within it, will be revoked without notice. Upon such termination, the licenses granted by this EULA will immediately terminate and you agree to stop all access and use of the Software and Stock Assets.
